Please read these Terms of Service ("Terms") carefully before using the soni-studios.com website and studio services (the "Service") operated by Imperium Soni Inc, doing business as ("us", "we", or "our"). Soni Studios is a fictitious name (DBA) duly registered in the State of Florida.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. By accessing or using the Service you agree to be bound by these Terms.

1. Accounts

When you create an account, you must provide accurate, complete, and current information. You are responsible for safeguarding your password and for activities under your account. Notify us immediately of any unauthorized use.

2. Studio Services and Payment Terms

The Service allows you to request studio bookings, view information about our facilities and rates, submit contact inquiries, and—where applicable—review invoices and authorize payment for studio services through secure payment processors.

2.1 Payment Methods

We accept major credit and debit cards, and wire transfers where agreed in writing. All prices are in United States Dollars (USD). By providing a payment method, you represent that you are authorized to use it and that information provided is true and accurate.

2.2 Payment Processing

Payments are processed through PCI DSS-compliant third-party processors. Imperium Soni Inc does not store full card numbers or CVC/CVV codes on its own servers. We may retain limited payment-related details from our processor for billing, fraud prevention, customer service, and recordkeeping.

2.3 Booking Confirmation

Studio sessions are scheduled after quote approval or invoice confirmation. Payment and confirmation details are provided when your booking request is reviewed.

2.4 Failed Payments

If a payment fails, you remain responsible for amounts due. We may retry failed payments and contact you for alternative arrangements.

3. Minimum Booking and Pricing

Minimum studio room booking is 4 hours unless otherwise stated on your invoice. Standard rates:

Session totals equal room time + equipment fee + engineer time (if requested) + mastering time (if requested), as itemized on your quote or invoice.

4. Intellectual Property

The Service and its original content, features, and functionality are the exclusive property of Imperium Soni Inc and its licensors. Unless otherwise agreed in writing, clients retain rights to their creative work; ownership of masters and deliverables is governed by your booking agreement or invoice.

5. Use Restrictions

You agree not to use the Service unlawfully, probe or breach security measures, access others' accounts, use unauthorized automated tools, impair the Service, or use the Service for fraudulent purposes.

6. Termination

We may terminate or suspend access immediately for breach of these Terms. Provisions that by nature should survive termination shall survive.

7. Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind to the fullest extent permitted by law.

8. Limitation of Liability

To the fullest extent permitted by law, Imperium Soni Inc shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Service or studio services.

9. Indemnification

You agree to defend and indemnify Imperium Soni Inc from claims arising from your use of the Service, breach of these Terms, or violation of applicable law.

10. Governing Law and Venue

These Terms are governed by the laws of the State of Florida. Legal proceedings shall be brought exclusively in state or federal courts located in Miami-Dade County, Florida.

11. Changes

We may modify these Terms at any time. Material changes will be posted on this page. Continued use after changes constitutes acceptance.

12. Cookies

The Service uses cookies as described in our Privacy Policy and Cookie Policy.

13. Data Security

We implement reasonable security measures including HTTPS, PCI-compliant payment processing, and restricted access to sensitive information. No security measures are perfect or impenetrable.

14. Fulfillment Policies

14.1 Refund Policy

Deposits and payments for booked studio time are non-refundable once a session is confirmed and payment is authorized within the confirmation window, except as stated on your invoice or written agreement. Completed recording, engineering, mixing, mastering, and other rendered services are non-refundable. See our Refund & Fulfillment Policies for full details.

14.2 Cancellation Policy

Cancellations or reschedules within twenty-four (24) hours of a confirmed session are non-refundable. No-shows forfeit the session fee. Live-band recording requires Studio Room A.

14.3 Billing Disputes

Contact business@soni-studios.com or (786) 233-9074 before initiating a chargeback. Include invoice number, payment date, amount, and reason. We acknowledge billing disputes within 2 business days.
